Welcome to WorkWise Staffing and Consulting (“WorkWise,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our services, website, platform, and any related offerings (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

  1. Scope of Services

    WorkWise provides staffing and consulting services to healthcare organizations and professionals, including but not limited to nurse staffing, retention consulting, and technology solutions. The specific terms of any service will be outlined in individual agreements or contracts entered into between WorkWise and its clients.

  2. Eligibility

    You must be at least 18 years old and legally able to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

  3. Client Responsibilities

    • Accurate Information: Clients must provide accurate and complete information when engaging with our Services. Any changes to provided information must be promptly communicated.
    • Compliance: Clients are responsible for complying with all applicable laws, regulations, and professional standards relevant to their operations and use of our Services.
  4. Healthcare Professional Responsibilities

    • Licensure and Certification: Healthcare professionals must maintain active and valid licenses and certifications required for their roles. Proof of licensure and certification must be provided upon request.
    • Professional Conduct: Healthcare professionals are expected to adhere to ethical and professional standards, including but not limited to punctuality, reliability, and quality of care.
    • Compliance: Healthcare professionals must comply with all applicable laws, regulations, and policies of the healthcare facilities where they are assigned.
    • Notification of Changes: Healthcare professionals must promptly notify WorkWise of any changes to their availability, licensure, or ability to perform assigned duties.
  5. Payment Terms

    • Invoices: Payment terms will be outlined in individual contracts. Invoices are due upon receipt unless otherwise specified.
    • Late Payments: Late payments may incur interest or additional fees as outlined in the applicable agreement.
    • Refunds: Refund policies, if applicable, will be specified in individual service agreements.
  6. Data Protection

    We take appropriate technical and organizational security measures to protect your data from unauthorized access or disclosure.

  7. Intellectual Property

    All intellectual property, including but not limited to software, content, designs, and methodologies used in connection with our Services, remains the sole property of WorkWise. Clients are granted a limited, non-exclusive, non-transferable license to use any proprietary tools provided by WorkWise solely for their intended purposes.

  8. Confidentiality

    Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the course of the engagement. This obligation does not extend to information that is publicly available, obtained from third parties without restriction, or required to be disclosed by law.

  9. Limitation of Liability

    To the fullest extent permitted by law, WorkWise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.

  10. Indemnification

    You agree to indemnify, defend, and hold harmless WorkWise and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or connected with your use of our Services or breach of these Terms.

  11. Termination

    • Termination by Client: Clients may terminate their engagement with WorkWise upon written notice as specified in their agreement.
    • Termination by WorkWise: We reserve the right to suspend or terminate our Services at any time if you breach these Terms or if continued service is deemed unfeasible.
    • Termination by Healthcare Professionals: Healthcare professionals may terminate their relationship with WorkWise upon written notice as specified in their agreement. All ongoing assignments must be completed or appropriately transitioned.
    • Effect of Termination: Upon termination, all rights and obligations will cease except for those expressly intended to survive, including confidentiality, payment obligations, and indemnification.
  12. Modifications to Terms

    WorkWise reserves the right to update or modify these Terms at any time. Changes will be effective upon posting on our website or otherwise notifying you. Continued use of our Services after such changes constitutes your consent to the updated Terms.

  13. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiations. If unresolved, disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
